ASFA Lifetime Membership Service Agreement
1. Lifetime Membership
Lifetime Membership provides the purchasing company access to the Aluminum Storefront Anywhere (“ASFA”) membership program for as long as ASFA continues to operate and offer the applicable membership program.
Lifetime Membership requires one membership payment and does not require recurring membership fees. The membership is associated with the purchasing company rather than an individual employee. If the original purchaser, administrator, or authorized user leaves the company, the purchasing company may designate another authorized representative to manage and access the membership.
If the purchasing company is sold, merged, acquired, or otherwise changes ownership, continued Lifetime Membership access may be transferred to the successor or acquiring company with ASFA’s approval. Lifetime Membership may not otherwise be sold, assigned, or transferred to an unrelated individual or company without ASFA’s prior approval.
Lifetime Membership does not guarantee that ASFA, its website, technology platform, features, services, or membership program will operate indefinitely. ASFA may modify or update its website, platform, membership features, or services as the program develops.
2. Member-Posted Inventory
ASFA provides members with a platform to post extra storefront, curtain wall, and related materials and to search materials posted by other ASFA members.
Inventory listings are created and maintained by the individual members who post them. Members posting materials are responsible for the accuracy of their listings and for keeping their posted inventory reasonably current.
ASFA does not inspect, independently verify, warrant, or guarantee member-posted materials, including their availability, condition, dimensions, specifications, compatibility, quality, pricing, or suitability for a particular project.
The appearance of material or a member’s listing within ASFA does not constitute an inspection, verification, certification, or guarantee by ASFA. Buyers are responsible for contacting the posting member directly, confirming all relevant information, and determining that the material is correct, acceptable, and suitable for their intended use before purchasing or using the material.
3. Member-to-Member Transactions
When a member locates material posted by another ASFA member, the buyer and seller communicate and conduct the transaction directly with one another.
The buyer and seller are responsible for confirming material availability, condition, manufacturer, part number, dimensions, finish, specifications, compatibility, quantity, pricing, payment arrangements, and shipping, delivery, or pickup before completing the transaction.
For direct member-to-member transactions conducted through the ASFA membership platform, ASFA is not the buyer or seller and does not collect or distribute payment between the members. These direct member-to-member transactions are conducted independently between the buyer and seller.
This does not apply to separate transactions in which ASFA is directly involved in locating, quoting, purchasing, reselling, or arranging materials for a customer. Such transactions are separate from direct member-to-member transactions and may include pricing or a markup established by ASFA.
ASFA does not charge a commission or percentage of the sale price on direct member-to-member transactions. Any proceeds from the sale of member-posted materials are handled directly between the buyer and seller.
Any questions, claims, returns, refunds, payment issues, shipping issues, or other disputes arising from a direct member-to-member transaction are the responsibility of the buyer and seller to resolve directly with one another.
Cancellation, expiration, suspension, or termination of an ASFA membership does not affect any separate transaction or obligation between members arising from a member-to-member purchase or sale.
4. Expanded Search Assistance for Members
If a member is unable to locate needed material through the ASFA member-posted inventory, the member may request ASFA’s assistance in expanding the search to glass shops, distributors, suppliers, or other sources outside the ASFA membership network.
ASFA members are not charged an additional search-assistance fee for ASFA’s assistance in conducting this expanded search. This does not mean that materials, shipping, freight, delivery, or other costs associated with obtaining the material are provided at no charge.
ASFA will make reasonable efforts to assist in locating requested material; however, ASFA does not guarantee that requested material can be located or that material located will remain available.
Information concerning material located outside the membership network may be provided by third parties. ASFA does not inspect, independently verify, warrant, or guarantee such material, including its availability, condition, manufacturer, part number, dimensions, finish, specifications, compatibility, quantity, quality, or suitability for a particular project.
Members are responsible for confirming all relevant information and determining that the material is correct, acceptable, and suitable for their intended use before purchasing, accepting, installing, or using it.
5. ASFA-Assisted Transactions
In addition to the ASFA membership platform, ASFA may separately assist customers, including non-members, with locating hard-to-find storefront, curtain wall, and related materials.
In an ASFA-assisted transaction, materials may be located from an ASFA member, non-member, distributor, glass shop, or other source. ASFA may provide the customer with a price for the requested material that differs from the amount ASFA pays or agrees to pay the material source. The price quoted by ASFA may include a markup or other compensation to ASFA for locating and facilitating the transaction.
When ASFA is directly handling the transaction, payment may be made to ASFA, and ASFA may separately compensate the source providing the material according to the terms agreed upon between ASFA and that source.
Materials sold by ASFA are sold “AS IS,” with no warranty and no returns. The buyer is responsible for inspecting and verifying the materials and determining that the materials are correct, acceptable, and suitable for the buyer’s intended use.
Pricing, payment, shipping, delivery, pickup, and other terms applicable to an ASFA-assisted transaction may be established separately for that particular transaction.
6. Purpose of the Inventory and Search Services
ASFA’s inventory and search services are designed to provide glass shops with another resource for locating storefront, curtain wall, and related materials. The service can be especially helpful when a shop needs a few pieces or hard-to-find parts to help complete a project and those materials are not readily available through its usual sources.
The amount and type of material available through ASFA will vary. ASFA does not guarantee that any particular material, quantity, or complete package of materials will be available or can be located for a project.
ASFA’s inventory and search services are intended to supplement a member’s existing material sources and are not represented as a replacement for manufacturers, distributors, or other regular suppliers.
7. Member Responsibility
Members are responsible for determining whether material located through ASFA’s member-posted inventory or expanded search assistance is appropriate for their particular project or application.
Before purchasing, accepting, installing, or using material, members are responsible for inspecting and verifying the material and confirming all relevant information with the seller or material source, including manufacturer, part number, dimensions, finish, condition, specifications, compatibility, quantity, pricing, payment terms, and shipping, delivery, or pickup arrangements, as applicable.
Members are also responsible for determining that materials comply with their project requirements, plans, specifications, applicable codes, and other requirements relevant to their particular use.
ASFA provides information and connections to assist members in locating materials but does not make the final determination as to whether a particular material is appropriate for a member’s project.
8. Membership Conduct and Termination
ASFA members are expected to use the membership program in a professional and lawful manner and to communicate and conduct business with other members in good faith.
Membership provides members the opportunity to post extra materials that may be purchased by other members. ASFA does not guarantee that posted material will be viewed, purchased, or result in any particular sale, revenue, savings, or financial benefit.
Members are responsible for the accuracy of the materials they post and for their own communications, pricing, payment arrangements, fulfillment, shipping, delivery, pickup, and other obligations associated with their direct member-to-member transactions.
ASFA may suspend or terminate a membership for serious or repeated misuse of the membership program, including fraudulent or intentionally misleading listings, misuse of another member’s information, unlawful activity, harassment, intentional misconduct toward other members, failure to fulfill member-to-member transactions in good faith, or other conduct that materially harms ASFA, its members, or the operation of the membership program.
When reasonably appropriate, ASFA may provide the member an opportunity to correct a problem before suspending or terminating membership. ASFA may take immediate action when reasonably necessary to protect ASFA, its members, or the integrity of the membership program.
A membership terminated for a material violation of these terms may not be transferred to another individual or company.
If a Lifetime Membership is terminated because of a material violation of these terms by the member or purchasing company, the Lifetime Membership fee is non-refundable, except where otherwise required by law.
9. Limitation of ASFA’s Responsibility
ASFA provides its membership platform, member connections, expanded search assistance, and ASFA-assisted transaction services as resources to help members and customers locate materials.
ASFA does not manufacture, inspect, test, certify, or independently verify materials posted by members, identified through outside sources, or located as part of an ASFA-assisted transaction.
Whether materials are obtained through a direct member-to-member transaction or an ASFA-assisted transaction, the buyer is responsible for inspecting and verifying the materials and determining that the materials are correct, acceptable, and suitable for the buyer’s intended use before purchasing, accepting, installing, or using them.
Materials sold by ASFA are sold “AS IS,” with no warranty and no returns.
To the extent permitted by applicable law, ASFA is not responsible for losses, damages, project delays, labor costs, removal or replacement costs, freight or shipping costs, lost profits, or other expenses arising from or related to a direct member-to-member transaction, inaccurate or incomplete information supplied by another member or third-party source, the condition or suitability of material, shipping or delivery issues, or a member’s or customer’s decision to purchase or use material located through ASFA.
Nothing in these terms is intended to exclude or limit any responsibility that cannot legally be excluded or limited under applicable law.
10. Acknowledgment and Acceptance
By purchasing an ASFA Lifetime Membership and accepting this Service Agreement, the purchaser acknowledges that they have read, understand, and agree to these terms on behalf of the purchasing company and represent that they are authorized to accept these terms on the company’s behalf.
The purchasing company agrees to these terms as a condition of participating in the ASFA membership program and using ASFA’s member-posted inventory, member connections, expanded search assistance, and other membership resources.
The purchaser acknowledges that direct member-to-member transactions are conducted between the participating members and that ASFA may separately participate in ASFA-assisted transactions as described in this Agreement.
The purchaser acknowledges the buyer’s responsibility to inspect and verify materials and determine that materials are correct, acceptable, and suitable for their intended use before purchasing, accepting, installing, or using them.
The purchaser also acknowledges that materials sold by ASFA are sold “AS IS,” with no warranty and no returns.
The purchaser acknowledges that Lifetime Membership provides membership access for as long as ASFA continues to operate and offer the applicable membership program, subject to the terms of this Agreement, including the provisions concerning transfer, suspension, and termination.
