ASFA Monthly Membership Service Agreement
1. Monthly Membership
Monthly Membership provides the purchasing company access to the Aluminum Storefront Anywhere (“ASFA”) membership program while the membership remains active and monthly membership fees are paid.
The membership is associated with the purchasing company rather than an individual employee. If the original purchaser, administrator, or authorized user leaves the company, the purchasing company may designate another authorized representative to manage and use the membership.
Monthly Membership is billed monthly and may be canceled at any time. Cancellation will take effect at the end of the member’s current paid billing period, and membership access will continue through that date. Monthly membership payments are non-refundable, and no prorated refunds or credits will be issued for a partially used billing period.
ASFA may modify or update its website, technology platform, membership features, or services as the program develops.
2. Member-Posted Inventory
ASFA provides members with a platform to post extra storefront, curtain wall, and related materials and to search materials posted by other ASFA members.
Materials listed within the ASFA membership are posted by individual members. ASFA does not own, inspect, test, verify, or guarantee the materials posted by members, including their availability, condition, specifications, compatibility, pricing, or suitability for a particular project.
Members are responsible for keeping their own posted inventory information reasonably current. Buyers are responsible for contacting the posting member directly and confirming all material details before purchasing or using any material.
3. Member-to-Member Transactions
When a member locates material posted by another ASFA member, the buyer and seller communicate and conduct the transaction directly with one another.
The buyer and seller are responsible for confirming material availability, condition, manufacturer, part number, dimensions, finish, specifications, compatibility, quantity, pricing, payment arrangements, and shipping, delivery, or pickup before completing the transaction.
For direct member-to-member transactions conducted through the ASFA membership platform, ASFA is not the buyer or seller and does not collect or distribute payment between the members. These direct member-to-member transactions are conducted independently between the buyer and seller.
This does not apply to separate transactions in which ASFA is directly involved in locating, quoting, purchasing, reselling, or arranging materials for a customer. Such transactions are separate from direct member-to-member transactions and may include pricing or a markup established by ASFA.
ASFA does not charge a commission or percentage of the sale price on direct member-to-member transactions. Any proceeds from the sale of member-posted materials are handled directly between the buyer and seller.
Any questions, claims, returns, refunds, payment issues, shipping issues, or other disputes arising from a direct member-to-member transaction are the responsibility of the buyer and seller to resolve directly with one another.
Cancellation or expiration of an ASFA membership does not affect any separate transaction or obligation between members arising from a member-to-member purchase or sale.
4. Expanded Search Assistance
If a member is unable to locate needed material through inventory posted within the ASFA membership platform, the member may request ASFA’s assistance in expanding the search outside the membership network.
ASFA may use its industry contacts and other available resources to help locate requested materials. This expanded search assistance is available to ASFA members at no additional search-assistance fee.
ASFA does not guarantee that requested materials will be located or available within a particular timeframe.
When materials are located outside the ASFA membership platform, ASFA will provide the member with available information regarding the material and source so the member can determine whether the material meets their needs. Any applicable material cost, shipping, delivery, or other transaction-related charges are separate from the ASFA membership fee.
5. ASFA-Assisted Transactions
In addition to the ASFA membership platform, ASFA may separately assist customers, including non-members, with locating hard-to-find storefront, curtain wall, and related materials.
In an ASFA-assisted transaction, materials may be located from an ASFA member, non-member, distributor, glass shop, or other source. ASFA may provide the customer with a price for the requested material that differs from the amount ASFA pays or agrees to pay the material source. The price quoted by ASFA may include a markup or other compensation to ASFA for locating and facilitating the transaction.
When ASFA is directly handling the transaction, payment may be made to ASFA, and ASFA may separately compensate the source providing the material according to the terms agreed upon between ASFA and that source.
Materials sold by ASFA are sold “AS IS,” with no warranty and no returns. The buyer is responsible for inspecting and verifying the materials and determining that the materials are correct, acceptable, and suitable for the buyer’s intended use.
Pricing, payment, shipping, delivery, pickup, and other terms applicable to an ASFA-assisted transaction may be established separately for that particular transaction.
6. Member Responsibilities and Use of ASFA
Members are responsible for providing accurate and reasonably current information when posting materials through the ASFA membership platform, including available quantities and relevant product information.
Members should remove or update listings when materials are no longer available or when the information contained in a listing materially changes.
Members are responsible for determining whether materials they purchase are appropriate for their intended project or application. ASFA does not determine product compatibility, suitability, code compliance, or installation requirements on behalf of members.
Members are also responsible for their own communications, agreements, payments, shipping arrangements, and other obligations arising from direct member-to-member transactions.
Use of ASFA membership resources does not guarantee that a member will locate needed materials, sell posted materials, generate sales, save a particular amount of money, or achieve any particular financial result.
7. ASFA’s Role and Limitations
ASFA is intended to provide an additional resource for glass shops and industry professionals seeking or offering storefront, curtain wall, and related materials.
For materials posted by members, ASFA provides a platform that allows members to locate and connect with one another. ASFA does not independently inspect, test, authenticate, or verify materials and does not guarantee their availability, condition, specifications, compatibility, pricing, or suitability for a particular project.
Whether materials are obtained through a direct member-to-member transaction or through an ASFA-assisted transaction, the buyer is responsible for inspecting and verifying the materials and determining that the materials are correct, acceptable, and suitable for the buyer’s intended use before installation or use.
Materials sold by ASFA are sold “AS IS,” with no warranty and no returns. The buyer accepts responsibility for verifying the material before purchase and assumes responsibility for the material after the sale.
For direct member-to-member transactions, members are responsible for resolving any disagreements or disputes involving payment, material condition, specifications, shipping, delivery, pickup, returns, or refunds directly with one another.
8. Acknowledgment and Acceptance
By purchasing an ASFA Monthly Membership and accepting this Service Agreement, the member acknowledges that they have read, understand, and agree to these terms.
The member understands that ASFA provides resources for locating, posting, buying, and selling storefront, curtain wall, and related materials, but that direct member-to-member transactions are conducted between the participating members.
The member acknowledges their responsibility to verify materials before purchase or use and understands that ASFA does not inspect or guarantee member-posted materials.
The member also acknowledges the Monthly Membership billing and cancellation policy, including that monthly membership payments are non-refundable and that cancellation becomes effective at the end of the member’s current paid billing period.
